1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Vidoky ("Vidoky", "we", "us"). By creating an account, placing an order, or using any of our Services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. These Terms apply to all visitors, users, and others who access or use our Services.

2. Services

Vidoky provides the following services (collectively, "Services"):

• Shared, VPS, and Cloud Web Hosting
• Domain Name Registration and Management
• Website Design and Development
• E-Commerce Solutions
• Business Email Hosting
• SSL Certificates
• Technical Support and Maintenance

Service specifications, pricing, and features are detailed on our website and may be updated from time to time. We reserve the right to modify, suspend, or discontinue any Service with reasonable notice.

3. Eligibility

To use our Services, you must be at least 18 years old and have the legal capacity to enter into contracts. By using our Services, you represent and warrant that you meet these requirements. If you are using our Services on behalf of a company or organisation, you represent that you have the authority to bind that entity to these Terms.

4. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities that occur under your account.
• Providing accurate, current, and complete registration information.
• Notifying us immediately of any suspected unauthorised use of your account.
• Ensuring your contact details are up to date so we can reach you regarding your services.

We are not liable for any loss resulting from unauthorised use of your account when you have failed to keep your credentials secure.

5. Payment & Billing

5.1 Fees

All fees are stated in USD unless otherwise specified. Prices are subject to change with 30 days' written notice. You agree to pay all applicable fees and taxes.

5.2 Billing Cycles

Services are billed monthly or annually as selected at purchase. Annual plans are discounted and non-refundable after the refund period (see our Refund Policy). Renewals are automatic unless cancelled before the renewal date.

5.3 Late Payment & Suspension

Accounts with overdue balances may be suspended after 7 days and terminated after 30 days. Suspended accounts may incur a reactivation fee. We are not responsible for data loss resulting from account termination due to non-payment.

5.4 Chargebacks

Fraudulent chargebacks will result in immediate account suspension. If you believe a charge is incorrect, please contact our billing team before initiating a dispute.

6. Acceptable Use Policy

You agree not to use our Services to:

• Host, distribute, or transmit illegal content of any kind.
• Send spam or unsolicited bulk email.
• Engage in phishing, fraud, or identity theft.
• Distribute malware, viruses, or harmful code.
• Host content that infringes intellectual property rights.
• Conduct DDoS attacks or any form of network abuse.
• Mine cryptocurrency without explicit written approval.
• Violate any applicable local, national, or international law.
• Overload shared server resources in a way that degrades performance for other users.

Violation of this Acceptable Use Policy may result in immediate suspension or termination without refund.

7. Intellectual Property

7.1 Your Content

You retain ownership of all content you upload or store on our servers ("Client Content"). By using our Services, you grant Vidoky a limited licence to host, display, and transmit your content solely as necessary to provide the Services.

7.2 Our Content

All Vidoky branding, website content, software, and documentation are owned by Vidoky and protected by copyright and other intellectual property laws. You may not reproduce, modify, or distribute our materials without written permission.

7.3 Custom Design Work

Upon full payment, custom design and development deliverables become your property. We retain the right to display completed work in our portfolio unless you request otherwise in writing.

8. Uptime & Service Level Agreement

We target a 99.9% monthly uptime for all hosting services. Scheduled maintenance windows (communicated 48 hours in advance) are excluded from uptime calculations. If we fail to meet this target, you may be eligible for a service credit upon written request within 30 days of the incident. Service credits are the sole remedy for downtime events.

9. Limitation of Liability

To the maximum extent permitted by law, Vidoky and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of revenue, data, or business — arising from your use of our Services, even if advised of the possibility of such damages.

Our total liability for any claim arising from these Terms or your use of our Services shall not exceed the total amount paid by you to Vidoky in the 12 months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless Vidoky, its affiliates, officers, agents, and employees from any claims, losses, or damages (including reasonable legal fees) arising out of your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate services with reasonable notice. We may terminate your account immediately and without notice if you breach these Terms, engage in fraudulent activity, or pose a risk to our infrastructure or other users.

Upon termination, you must immediately cease using our Services. We will delete your data in accordance with our data retention schedule and Privacy Policy. Data recovery after account termination may not be possible.

12. Governing Law

These Terms are governed by applicable law. Any disputes that cannot be resolved amicably shall be submitted to binding arbitration or the courts of the jurisdiction in which Vidoky is registered, as applicable. You waive the right to participate in class-action proceedings.
